Definitions & Responsibility
Sales agent: the sales agent acts as a mediator between the end customers and the
supplier. The sales agent can sell goods on behalf of the supplier, in exchange for a fixed
percentage of the retail price. The sales agent can accept orders, payments and shipping details
on behalf of the supplier and transfer them directly to the supplier, who will then ship the goods
directly to the end customer. The sales agent makes his profit by holding a monetary amount of the
retail price, as a reward for the mediation. This amount is the difference between the selling price
and the price the supplier asks to sell the products.
The parties hereby agree the following:
The Seller wishes to sell and promote the products shown on (website) on behalf of the Supplier
and undertakes to give all sales and/or orders resulting from the aforementioned products
exclusively to the Supplier without any doubt or reservation.
The Supplier is responsible or liable for the materials and products made available to the End
Customer. The warranty on these products is valid.
If End Customers appear to have problems with their products, and the initial after-sales
services provided by Seller are not sufficient, the Supplier shall provide further assistance to
solve the problems.
Supplier warrants to Seller that all goods supplied do not violate any intellectual property right,
copyright or trademark right. In the event that products are patented, the Supplier assures Seller
that it has the license to sell the goods.
However, the success of the Vendor's web shop/website, the accuracy or legality of its content
and operation is the responsibility of the Vendor.
